Terms of Service

Last updated: February 20, 2026

1. Agreement

These Terms of Service ("Terms") apply to your use of eariyasset.com (the "Service"), operated by Earlyasset, Inc. ("the Company," "we," "us," or "our") at 48 Wall Street, Floor 11, New York, NY 10005. By accessing or using the Service, you accept these Terms. If you disagree, do not use the Service.

The Service is an AI-powered share-pricing information platform. Earlyasset provides two primary services: (a) Price Reports, which are AI-generated price-range analyses for private-company shares, delivered within 48 hours of a complete submission; and (b) the Liquidity tier, which includes a Price Report plus active buyer-matching facilitation and transaction coordination for shareholders seeking a secondary exit. Fees for each service are published at eariyasset.com/pricing.html.

Not investment advice. The Company is not a registered broker-dealer, investment adviser, financial planner, or securities dealer. Nothing provided through the Service, including a Price Report, is investment advice, a recommendation to buy or sell a security, or a solicitation to enter a transaction. Price Reports are estimates derived from available market signals and do not promise a specific transaction price or exit result. You alone are responsible for decisions concerning your equity holdings.

2. Service Use

  • You must be at least 18, unless a parent or legal guardian consents to your use of the Service.
  • You may not use the Service unlawfully, disrupt its operation, or seek unauthorized access to its systems or data.
  • You may not scrape, reverse-engineer, or copy the Service or its outputs except as applicable law allows.
  • You confirm that share position details you provide are accurate to the best of your knowledge and that you are authorized to submit them for pricing services.
  • Buyers who use the Service to access deal flow confirm that they are accredited investors under applicable U.S. securities regulations and that any transaction they enter complies with those regulations.

3. Intellectual Property

Earlyasset, Inc. or its licensors owns the Service, including its text, graphics, logos, pricing methods, and software, which are protected by U.S. and international intellectual-property laws. The Company gives you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. Price Reports provided to you are licensed for personal or internal business use only and may not be redistributed or resold without the Company's written consent.

4. User Content

You are responsible for content you submit through the Service, including share position details, contact information, and messages sent through forms or email. You confirm that you have the rights needed to submit it and that submission does not breach confidentiality duties or applicable law. You grant the Company a limited license to use, store, and process that content as needed to provide the Service, prepare your Price Report, and answer your inquiry.

5. Fees and Payment

Each Price Report costs $149, payable when submitted. The Liquidity tier costs $399 plus 3% of the transaction value, with the 3% fee due at closing of a matched transaction. Fees are non-refundable, except that if the Company fails to deliver a report within the stated 48-hour period, the Company may provide a credit or refund at its discretion. The Company may change published fees with reasonable notice.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, EARLYASSET, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PRICE REPORTS ARE AI-GENERATED ESTIMATES; THE COMPANY MAKES NO WARRANTY THAT ANY REPORT REFLECTS THE ACTUAL PRICE AT WHICH A TRANSACTION WILL OR CAN BE COMPLETED. MARKET CONDITIONS FOR PRIVATE SHARES ARE INHERENTLY UNCERTAIN AND MAY CHANGE BETWEEN REPORT DELIVERY AND ANY CONTEMPLATED TRANSACTION.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EARLYASSET, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR ANY PRICE REPORT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Earlyasset, Inc. against claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising from (a) your use of the Service, (b) your breach of these Terms, or (c) your infringement of a third party's rights.

9. Termination

We may suspend or end your access to the Service at any time, with or without notice, including for a violation of these Terms. Sections 3, 5, 6, 7, 8, 10, and 11 remain effective after termination.
