How It Works
Priced report in 48 hours.
Our AI interprets real private-market signals and returns a disciplined price range for your specific share position.
The process
Three steps to your report
Share your details
Provide the company name, estimated share count, your stock class (common, preferred series, or options), and how you plan to use the valuation. Company financials are not required if you cannot access them.
AI reads signals
The model gathers and weighs six signal categories: secondary transaction data, funding round multiples, revenue benchmarks, exit comparables, option strike trends, and tender offer bid-ask spreads. It triangulates across sources rather than letting one source control the result.

Signals we analyze
Six private-market signal categories
Secondary transaction data
Reported trades in the company or among close comparables provide the clearest price anchor. When recent transactions exist, they receive the greatest weight. The AI considers timing, share class, and buyer type before weighting the data.
Funding round multiples
Every funding round establishes a preferred share price. The AI calculates implied valuation multiples and applies a secondary discount because common shares do not carry investors' liquidation preferences. Round timing and cadence also shape the signal weight.
Revenue benchmarks
For growth-stage private companies, revenue multiples from comparable public peers help define a valuation ceiling. The AI selects a cohort by sector, revenue range, and growth stage, then applies a private-market illiquidity discount to produce a comparable range.
Exit comparables
Acquisitions and IPOs involving comparable private companies offer useful long-term anchors. The AI weighs each comparison by recency, sector fit, and exit type, while discounting older results for present market conditions. This signal matters most for late-stage positions.
Option strike trends
Employee option grant prices across funding rounds serve as an internal common-share benchmark. 409A-linked strike-price trends, adjusted for elapsed time and round progression, provide a lower-bound reference for calibrating the AI's common-share estimate.
Tender offer spreads
Company tender offer bids and reported secondary bid-ask spreads show what current buyers are prepared to pay. They rank among the strongest current-price signals because they represent actual capital commitments, not model-based estimates.

Inside your report
Signal contributors
- Secondary transaction data (comparable series, Q3 2025)
- Funding round multiples (latest growth round, 18 months prior, with 28% secondary discount)
- Revenue benchmark cohort (enterprise SaaS, ARR range match, public-multiple median)
Analyst note: Comparable-cohort secondary trades provide the strongest pricing anchor in this case. The broad range signals real market uncertainty at this stage, rather than weak data. The mid estimate is the weighted average of available signals. For planning and negotiation context only.

FAQ
FAQ questions
The model considers all six signal categories together, weighting each according to data quality, age, and fit with the specific share class. When available, secondary trade data carries the greatest weight. The three outputs, low, mid, and high, form a weighted range across active signals rather than a simple average. The confidence tier indicates data completeness.
We combine secondary-market transaction databases, public funding-round filings, financials from comparable public companies, and reported tender offer activity. We do not scrape unstructured sources or use one customer's submitted data to price another customer's position. Provenance and quality are tracked for each signal.
A 409A valuation is a compliance exercise that sets fair market value for employee option grants, mainly for IRS purposes. Its prescribed methodology generally produces conservative estimates and is not built for secondary transactions. Our pricing focuses on current secondary-market clearing prices, or what an arm's-length buyer might pay today. The figures serve separate purposes.
Standard delivery takes 48 hours after verified submission. Well-documented companies with recent secondary transaction history may receive reports sooner. When signal data is limited, we may contact you about the confidence implications first. Low-confidence reports are not delivered without clearly stating their limitations.
